Memorandum of Understanding (MoU)
Between SaitechLabs and Industrial Client for Tech Dossier Support and Management Trainee Development
This Memorandum of Understanding (“MoU”) is made on this _____ day of __________ 20_____ between:
M/s. SaitechLabs, Surface Coating Technology Solutions, hereinafter referred to as “SaitechLabs”,
AND
M/s. ________________________________________________, having its registered office at ________________________________________________, hereinafter referred to as the “Industrial Client”.
SaitechLabs and the Industrial Client are hereinafter collectively referred to as the “Parties.”
1. Objective
The objective of this MoU is to establish a framework for technical collaboration between the Parties for:
- Product-wise Tech Dossier support for industrial coatings, paints, and allied surface treatment products.
- Recruitment, screening, initial training, and workforce development of Management Trainees (MTs).
- Creating a long-term pipeline of technically trained manpower for the Industrial Client’s operational and business needs.
2. Scope of Engagement
2.1 Tech Dossier Support
- Product formulation support and technical guidance
- Process-related documentation and SOP guidance
- Testing references, QC-related guidance, and technical updates
- Support applicable for one or more products as mutually agreed
2.2 Management Trainee Program
- Campus drives and student mobilization
- Screening tests and HR interviews
- Initial training at SaitechLabs
- Training, monitoring, and deployment coordination

Advance Payment Condition: The Tech Dossier charges and MT Training charges payable to SaitechLabs shall be paid in advance. Delay in payment may result in withholding or pausing of support services until dues are cleared.
4. Recruitment and Selection Responsibilities of SaitechLabs
SaitechLabs shall undertake the following activities for Management Trainee recruitment and induction:
- Conduct campus drives in colleges, institutions, and training centers.
- Conduct screening tests to identify suitable candidates.
- Conduct HR interviews and shortlisting.
- Coordinate with the Industrial Client for candidate matching wherever required.
- Facilitate medical fitness test completion before final placement.
- Arrange initial training of selected candidates at SaitechLabs.
5. Management Training Duration and Commitment
- The Management Training duration shall be one year.
- Each selected Management Trainee shall be expected to make a minimum one-year commitment.
- The Industrial Client may recruit any number of Management Trainees per year depending on operational needs.
6. Training Coverage
The MTs shall be trained in various departmental activities depending on role suitability and the Industrial Client’s needs, including but not limited to:
- Production
- Quality Control (QC)
- Research & Development (R&D)
- Stores and Inventory
- Maintenance
- Facility Support Services
- IT and Digital Support
- Training and Documentation Support
- After-sales Technical Support
- Techno-commercial Services
7. Initial Training at SaitechLabs
After successful completion of screening, interviews, selection, and medical fitness tests, the Management Trainees shall initially report to and undergo training at SaitechLabs before being deployed for role-specific work.
8. Deployment Model
8.1 Remote Operations from SaitechLabs
For remote operations such as R&D, Remote QC, IT, Training Support, After-sales Technical Services, and Techno-commercial Services, Management Trainees may work from SaitechLabs.
Techno-commercial trainees may also visit customer sites for complaint investigation, technical coordination, and new business development activities.
8.2 On-site Operations at Industrial Client
For on-site operations such as Production, Stores, Maintenance, and Facility Support Services, candidates shall be posted at the Industrial Client’s site as per requirement.
9. Payroll Status
All Management Trainees covered under this MoU shall remain on the payroll of the Industrial Client. SaitechLabs shall provide training, monitoring, coordination, and workforce development support but shall not be the salary-paying employer for the MTs under this engagement.
10. Insurance, Medical Fitness, and Statutory Responsibility
- All candidates shall undergo medical fitness testing before placement.
- All Management Trainees shall be covered by medical insurance.
- The cost of medical insurance shall be borne by the Industrial Client.
- The Industrial Client shall be responsible for all statutory employment compliance applicable to Management Trainees on its payroll.
11. Responsibilities of the Industrial Client
- Pay stipend of ₹20,000 per month per MT directly to the trainee.
- Pay ₹3,000 per month per MT to SaitechLabs in advance toward MT Training support.
- Pay ₹12,000 per product per month to SaitechLabs for Tech Dossier support.
- Provide boarding, lodging, and travel support as applicable.
- Ensure safe working conditions and suitable industrial exposure.
- Provide operational cooperation for deployment, review, and supervision.
- Provide medical insurance coverage to all MTs.
12. Responsibilities of SaitechLabs
- Conduct campus outreach, screening tests, and HR interviews.
- Provide initial training and orientation to selected Management Trainees.
- Support technical skill development and departmental familiarization.
- Provide Tech Dossier support for covered products.
- Coordinate with the Industrial Client regarding deployment, monitoring, and feedback.
13. Confidentiality and Intellectual Property
- All technical data, formulations, dossier content, process information, and client-specific information exchanged under this MoU shall be treated as confidential.
- Tech Dossiers, documentation structures, technical know-how formats, and related knowledge systems developed by SaitechLabs shall remain the intellectual property of SaitechLabs unless otherwise agreed in writing.
- The Industrial Client shall have the right to use the relevant support outputs during the active period of engagement.
14. Duration, Renewal, and Termination
- This MoU shall remain valid for an initial period of one year from the date of execution.
- It may be renewed upon mutual written consent.
- Either Party may terminate this MoU by giving 30 days’ written notice.
- All dues payable to SaitechLabs up to the date of termination shall be cleared by the Industrial Client without delay.
15. Dispute Resolution and Jurisdiction
Any dispute arising out of this MoU shall first be resolved amicably through mutual discussion. Failing such resolution, the matter shall be subject to the jurisdiction of the competent courts at Chennai, Tamil Nadu.
16. Acceptance
The Parties hereby agree to the terms and conditions contained in this MoU and confirm their intent to collaborate in good faith.
